These Terms of Service ("Terms") are between you ("User," "You," "Your") and My Dear Watson LLC ("Company," "We," "Us," "Our"), governing your access to and use of our website, platform, services, and any SMS/text message communications (collectively, the "Services").

By accessing or using our Services (including opting in to receive text messages from us), you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services or opt in to our messaging.

Renewal terms follow the plan agreement or applicable invoice.

To cancel, notify us as required by your plan. Any outstanding fees or obligations must be honored.

Early cancellation fees may apply if specified.

6. Ownership & Use of Work Product

You retain ownership of materials you provide (logos, content, brand assets, etc.).

For materials we create for you ("Work Product"), you receive a non-exclusive, royalty-free, perpetual license for business use.

We may use anonymized or aggregated data for analytics and service improvement.

7. Confidentiality & Data Protection

"Confidential Information" includes non-public business, technical, financial, or personal information you share with us.

We will protect such information and only disclose it when necessary to provide the Services or as required by law.

We follow industry-standard security practices but cannot guarantee perfect security.

8. Disclaimers & No Warranty

The Services, including Messaging Services, are provided "as is" and "as available" without warranties of any kind, express or implied.

We make no guarantee regarding specific outcomes (e.g., lead quality, campaign performance, or messaging delivery).

9. Limitation of Liability

To the maximum extent permitted by law, My Dear Watson LLC and its affiliates, officers, employees, and agents shall not be liable for indirect, incidental, special, punitive, or consequential damages.

Our total aggregate liability for any claim shall not exceed the total amount you paid us in the prior 12 months, or a statutory minimum if required by law.

10. Non-Solicitation / Non-Compete

If your use of our Services introduces you to contractors or staff through our campaigns, you agree not to directly engage or hire them outside of our company for 12 months after your last engagement unless we consent in writing.

11. Use of Name, Testimonials, & Feedback

With your consent, we may use your name, logo, or feedback in marketing materials or case studies.

To opt out, contact [email protected], and we will remove your materials within a reasonable time.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Illinois, United States.

All disputes shall be resolved exclusively in the courts located in Chicago, Illinois, unless otherwise agreed in writing.

If any provision of these Terms is found invalid, the remainder shall remain in effect.

13. Miscellaneous

  • Entire Agreement: These Terms, our Privacy Policy, and any Messaging Disclosures form the entire agreement between you and the Company.
  • No Waiver: Failure to enforce a right does not waive it.
  • Severability: If any part of these Terms is held invalid, the remaining parts remain enforceable.

14. Messaging-Specific Disclosures & Requirements (A2P / 10DLC)

In compliance with The Campaign Registry (TCR) and A2P 10DLC regulations:

  • Our registered messaging brand is My Dear Watson LLC.
  • Messages may be sent from a dedicated U.S. long code number assigned through our platform.

Example message:
"MY DEAR WATSON: You have a new lead update. Reply HELP for help or STOP to unsubscribe."

  • You may receive ~5 messages/month or more depending on engagement.
  • Standard message and data rates apply.
  • We follow all carrier and regulatory rules for transparency, opt-in, and data handling.
